Agreement for Services
This Agreement for Services (hereinafter referred to as the "Agreement") is entered into by and between:
PhotoGov.com (hereinafter referred to as the "ServiceProvider"), a company duly organized and existing under the laws of the European Union, with its registered office at [Registered Address], and
Client (hereinafter referred to as the "Client"), an individual or legal entity accessing and using the services provided by PhotoGov.com.
The ServiceProvider and the Client are collectively referred to as the "Parties" and individually as a "Party".
WHEREAS, the ServiceProvider operates an online service utilizing artificial intelligence technology to process and prepare photographs for various types of documents in compliance with their respective requirements;
WHEREAS, the Client desires to avail of the services provided by the ServiceProvider, subject to the terms and conditions set forth in this Agreement;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1. Services Description
1.1 The ServiceProvider shall provide the Client with an online platform through which the Client may upload their photograph to be processed and prepared for various types of documents in accordance with the applicable requirements (hereinafter referred to as the "Services").
1.2 The Services include both free and fee-based offerings, depending on the type of document for which the photograph is intended. The Client shall have the option to select the desired service tier, and any associated fees shall be clearly disclosed prior to the initiation of the Services.
2. Client Responsibilities
2.1 The Client shall provide the ServiceProvider with an appropriate photograph for processing, in accordance with any guidelines or specifications provided by the ServiceProvider.
2.2 The Client warrants that they have the legal right to use and upload the photograph, and that the photograph does not infringe upon any third party's intellectual property rights or violate any applicable laws.
3. Payment and Reimbursement
3.1 The Customer shall pay any applicable fees for the Services specified in the Service selection process using the payment methods accepted by the Service Provider. Payment confirms agreement to the terms and conditions of the Services.
3.2 If Customer is not satisfied with the outcome due to improper processing or non-compliance with the intended document requirements, Customer may request a refund by contacting Service Provider's customer service department within fourteen (14) days of the date of service completion. The request for a refund must include a detailed explanation of the reason for the request and supporting materials.
3.3 No refunds will be given if the result of the processing is incorrect due to the original photograph not meeting minimum requirements (e.g. inappropriate lighting, blurriness, incorrect body position, etc.). It is the client's responsibility to verify that the photo meets the requirements before uploading.
3.4 In case of incorrect processing result caused by an unsuitable original photo, the Client has the right to request a free re-processing by contacting the Service Provider by e-mail at [email protected]. The staff will check the first result, provide recommendations on how to improve the original photo and help with re-uploading.
3.5 The Service Provider shall consider any requests for reimbursement on a case-by-case basis. Reimbursement shall be paid in whole or in part at the discretion of the Service Provider based on the nature of the request and the circumstances.
3.6 A full refund is only guaranteed if:
A technical error occurred during processing.
The result does not meet the Service Provider's stated standards, provided that the client's original photo was fully compliant.
3.7. It is strongly recommended that you read the detailed instructions and requirements for uploaded photos to avoid delays or processing rejections.
4. Proprietary Rights
4.1 The Client acknowledges and agrees that the ServiceProvider and its licensors retain all proprietary rights in and to the Services, including but not limited to the artificial intelligence technology used to process the photographs.
4.2 The ServiceProvider grants the Client a non-exclusive, non-transferable, revocable, and limited license to access and use the Services for the Client's personal or internal business purposes, subject to the terms and conditions of this Agreement.
5. Privacy Considerations
5.1 The ServiceProvider shall process the Client's personal data in compliance with the applicable European Union data protection laws, including but not limited to the General Data Protection Regulation (GDPR).
5.2 The ServiceProvider's Privacy Policy, as available on its website, shall provide further details on the processing of personal data and the rights of the Client with respect to their personal data.
6. Liability Limitations
6.1 To the maximum extent permitted by law, the ServiceProvider's liability for any claim arising out of or in connection with this Agreement shall be limited to the amount paid by the Client for the Services.
7. Applicable Law and Dispute Resolution
7.1 This Agreement shall be governed by and construed in accordance with the laws of the European Union.
7.2 Any disputes arising out of or in connection with this Agreement shall be resolved through amicable negotiations between the Parties. If the Parties are unable to resolve the dispute within thirty (30) days, either Party may submit the dispute to the competent courts of the European Union.
8. General Provisions
8.1 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, between the Parties with respect to the subject matter hereof.
8.2 The ServiceProvider reserves the right to modify the terms and conditions of this Agreement at any time, with or without notice to the Client. The Client's continued use of the Services shall constitute acceptance of any such modifications.
